If Licensor notifies Licensee that it has quizzes bona fide belief that theProducts or Services or University use of University Licensed Marks should not in conformance with University requirements of this Agreement: i Licensor and its permitted representatives shall, upon reasonable notice exam Licensee, have University right examination visit University officesand amenities of Licensee where Products, Services or such materials using University Licensed Marks are Commercialized, advertised, marketed, or promoted so as exam behavior quizzes reasonable inspection and exam of such workplaces and facilities solelyfor University intention of making a choice on compliance with this Agreement, provided that University right exam have such visits, inspections and examinations will be exercised in such manner and at such times so as not exam intervene unreasonably with University enterprise oroperations of University Licensee; ii upon Licensors reasonable request, Licensee shall furnish Licensor consultant samples of all Products examination which University Licensed Marks are affixed and consultant samples appearing all other uses of theLicensed Marks by Licensee; and iii upon Licensors reasonable request, and upon fair notice, Licensee shall permit Licensor exam immediately examine and audit files, books and records pertaining specially examination theCommercialization, servicing, first-rate, performance, and other characteristics of Products and Services as Licensor may somewhat require examination verify that each one Products and Services using University Licensed Marks and all promoting, marketing andpromotional elements therefor meet University Standards of Quality and that Licensees use of University Licensed Marks complies with Licensees responsibilities under this Agreement. In accomplishing the sort of inspection or audit under thisSection 4. C, Licensor shall take all steps rather required by Licensee exam lower disruption exam Licensees enterprise and exam avoid disclosure of Licensees exclusive and proprietary data and constituents, includingexecuting reasonable nondisclosure agreements, so long as such steps and agreements shall not keep away from Licensor from pursuing any claims that it could have in connection with this Agreement. Licensee shall submit representative samples of allmarketing, promoting and promotional material not in use as of University Effective Date incorporating University Licensed Marks New Promotional Materials including packaging for Products exam Licensor at University tackle distinct inSection 9. D or such other address as specified by Licensor.
